Lucid Raises $1.1 Billion Backed by Saudi PIF: Why This Matters for Global EV Markets and What It Signals About Saudi Arabia’s Investment Playbook

Apr 10

3 min read

In a major financial move that reinforces Saudi Arabia’s long-term commitment to electric mobility and advanced manufacturing, Lucid Group, the electric vehicle manufacturer backed by the Public Investment Fund (PIF), has successfully raised $1.1 billion through a convertible notes offering. This capital injection is a strategic advancement for the Kingdom’s role in shaping the global electric vehicle landscape and developing next-generation mobility platforms.

Let’s explore what occurred, why it holds significance, and what it reveals about the forward-thinking approach of Saudi-backed investments, particularly for businesses and investors aligning with this transformation.

What Happened?

On April 9, Lucid announced it had closed a $1.1 billion convertible senior notes offering due in 2030. Of that, approximately $935.6 million will be used to repurchase about $1.05 billion of its existing convertible senior notes due in 2026, a strategic refinancing move that strengthens Lucid’s capital position.

The Public Investment Fund (PIF), which holds a majority stake in Lucid, played an important role in this transaction by supporting it through a prepaid forward share purchase agreement. This provided Lucid with upfront liquidity while enabling PIF to acquire more shares at a future date.

Additionally, the company entered into capped call transactions, financial instruments designed to minimize shareholder dilution. This increased the effective conversion price of the notes to $4.80 per share, double Lucid’s current stock price of $2.40 — delivering enhanced financial efficiency.

Why This Matters

This capital raise is important for several reasons:

1. Demonstrates Strategic Confidence and Long-Term Commitment

Lucid recently reported Q1 deliveries of 3,109 vehicles, marking a 58% year-on-year increase. Raising $1.1 billion in today’s capital environment reflects strong momentum and a clear vote of confidence. The continued support from PIF highlights their strategic commitment to positioning Lucid as a global EV leader.

2. Reinforces Saudi Arabia’s Global Investment Strategy

This initiative highlights the Kingdom’s focus on building advanced manufacturing capabilities, expanding deep-tech ecosystems, and leading in energy transition sectors. Lucid’s operations in Saudi Arabia, including its manufacturing facility in King Abdullah Economic City (KAEC), align directly with the goals of Vision 2030 to diversify the economy and localize high-value industries.

3. Highlights Financial Innovation and Capital Sophistication

The structured nature of this deal, including convertible notes, capped calls, and forward share agreements, reflects a sophisticated and well-calibrated financial approach.

It provides liquidity, protects shareholder value, and supports long-term flexibility. This approach offers a valuable reference point for companies engaging with Saudi institutional capital.

Implications for Global Businesses

Businesses operating in mobility, energy, AI, deep tech, advanced manufacturing, or digital infrastructure can draw key insights from this announcement. Saudi Arabia presents high-value opportunities to well-prepared companies with:

  • A market-ready strategy aligned with regional goals

  • The right partnerships to execute locally

  • A compelling value proposition that supports Vision 2030 priorities
